Welcome to Talkloop.com website (the “Site”) and our prepaid long distance and
international calling Service (the “Service”). This service is provided as part
of our parent company Renium, Inc (the “Company”) portfolio of products and
services. Please read the following terms and conditions in its entirety.

| In order to use Talkloop service, the customer needs to signup by providing
their true name, mailing address, email address, and credit card information
and dollar amounts. By providing the above credit card information, the
customer customer gives the Company authorization to submit the credit card
information for payment. Also it will be customer’s responsibility to maintain
accurate and up-to-date information on our website.

| During signup process, the customer will be provided with a password to login
to the website. A PIN number for making phone calls will also be generated that
will be present in the MyAccount section of the website. The customer is
responsible for maintaining confidentiality of this information and will be
charged for all calls that occur under this account.

| Although we try to be accurate in determining the access numbers that are local
to your calling area, it will be customer’s responsibility to check with their
local phone company if any toll charges will be incurred or not by dialing
these access numbers. The company will not be responsible for charges
incurred by the phone company to the customer.

|
|
| This feature allows bypassing the 14-digit PIN number by assigning the
customers caller id number to their account. If the caller id
number or phone number that customer calls from is not unique, then do not use
this feature since customer will be responsible for all charges incurred
on the account. |

|
| This feature allows speed dialing customers favorite destinations. Please
verify the destination number entered in this address book since customer will
be responsible for any calls made to that destination. |

|
| If any fraudulent activity is noticed in a customers account, that account will
be disabled with or without notice.
|
| |
|
|
| The customer is responsible for checking the rates to the country he or she
wishes to make the phone call to. Depending upon market conditions, Talkloop
may be forced to change rates at any time, so it is up to the customer to make
sure that they check the rate table displayed on the website for the
appropriate access number, toll or local.

|
|
|
Local phone companies or cell phone companies may charge or deduct
minutes depending upon the plan that customers have with them when using
the local access or toll-free numbers. It will be the customers responsibility
to verify and accept them before calling any of the access numbers
provided by TalkLoop.com.
Cell Phone users: Please do not push
any button after entering the destination number following our voice prompt. If
you push the call, send, flash or end button, your cell phone carrier will take
that as a new number to be dialed and it will go through their network and you
will get billed by them. TalkLoop.com is not responsible for these charges.
There are couple of safe checks to avoid this problem:
1. Disable international dialing on your cell phone by calling your cell phone
provider. OR
2. Enable OneTouch dial feature on our service to dial one digit 1,2 etc instead
of the international number. That way, even if the call mistakenly goes out to
your cell providers network, it wont get completed. OR
3. Donot push any button after dialing the international number when your hear
our prompt to enter the destination number.

| The Customer agrees that the Company, its directors, officers, employees and
agents shall not be liable for any loss or damage sustained by Customer, due to
any failure in or breakdown of the communication facilities or website access
associated with providing the Services, for any delay, interruption or
degradation of the Services whatsoever shall be the cause or duration thereof,
or for any other cause or claim whatsoever arising under this Agreement. In no
event shall Company be liable for consequential, special or indirect losses or
damages sustained by Customer or any third parties in using the Service
howsoever arising and whether under contract, tort or otherwise (including,
without limitation, third party claims, loss of profits, loss of customers or
damage to reputation or goodwill).

| The credit that is earned for referring friends has zero value although it is
shown as a dollar amount. That means it is not transferable, refundable or
creditable under any circumstances. Talkloop reserves the right to discontinue
the program at any time with or without notice.

| Your account and PIN will expire 6 months from the day of the last
successful call or recharge and will become disabled. However, the
expiration date is automatically extended whenever you make calls
or recharge. If an account balance becomes zero or negative and remains so
for 30 days, that account will also be disabled immediately.

|
| The Customer acknowledges that the amount charged is not refundable. A Customer
becomes eligible for refunds in the form of credit, reimbursement for any
balance amounts only at the discretion of the Company and only if there is an
extended outage either on our website or calling service. Any promotional
credit or credit applied for bonuses or customer service issues has zero cash
value and is not transferable or refundable.

| By subscribing to the newsletter, you give permission to TalkLoop to send you
latest news about products or services that may be of interest, so that you can
enjoy even more benefits. |

a>A Surcharge of 75¢ will be deducted from your account when calling from a
payphone using the toll-free number.
b>All calls will be rounded to the next one minute.
c>Customer can access charge and call history in the MyAccount section 24x7
for 3 month period. It will be customers responsibility to print
the history for prior months.

| All billing disputes in call history should be sent within 30 days of the date
on which the charge was recorded. Talkloop, at its sole discretion will try to
resolve the dispute within 30 days from the date on which the dispute was
filed. If you fail to notify as noted above, you will waive all rights to bring
any claim against disputed charges.

|
|
| Company reserves the right to change any of the terms and conditions, policies
or guidelines at any time at its sole discretion. Continued use of the account
and service will be deemed as acceptance of terms and conditions.
